Type The Product is a share of the Sub-fund Wellington Pan European Small Cap Equity Fund (the "Fund") which is part of the Wellington Management Funds (Ireland) plc (the "Umbrella Fund"), an open-ended investment company with variable capital and segregated liability between Funds incorporated with registered number 267944 and is authorised in Ireland as a UCITS pursuant to the Regulations. Term The Umbrella Fund and the Fund do not have a fixed term or maturity period, but the Management Company, with the approval of the Depositary, is entitled to give notice of the Umbrella Fund's dissolution at any time. In the event that the Management Company considers that changes in the political, economic, military, regulatory or business environments, or reductions in the scale of a Fund's total net assets compromise the effective management of a Fund, then the Management Company is empowered to liquidate the Fund at any time. Objectives The Fund seeks to achieve long-term total returns (capital appreciation and income). The Fund will be actively managed against the MSCI Europe Small Cap Index (the “Index”), investing primarily in equity and equity related securities of small capitalization companies domiciled or operating in developed European markets. The Index is a market capitalisation weighted index that is designed to measure the equity market performance of small capitalization developed market equities in Europe. The Fund will not invest directly in the securities of any issuer identified as being principally engaged in the production and sales of fossil fuels including thermal coal (mining and power generation). The Investment Manager uses a bottom up stock selection process (focusing on the merits of individual companies) to invest in companies it believes may have been mispriced by the market in the short term. The Investment Manager specifically looks for companies it considers to be high quality due to their attractive profitability and growth prospects. Companies are sought with attributes such as stable growth, strong balance sheets, low volatility of earnings and sound management. Fund securities may be components of the Index but are not expected to have similar weightings. The Fund will seek to support certain environmental and social characteristics and will abide by the following binding restrictions: - The Fund will seek to achieve net zero emissions by 2050 in alignment with the Paris Agreement, by investing a minimum of 15% of its assets in companies which have established, or have committed to establish science-based targets, with this percentage increasing to a minimum of 50% by 2030 and 100% by 2040. - At least 70% of the number of companies that the Fund invests in will be rated 1-3 for Environmental and Social, on a rating scale of 1-5, where 1 is the best rating. - The Fund will target a range of 10%-20% (with a minimum of 5%) of the number of companies that the Fund invests to generate more than 25% of revenues from sustainable products or services. Income policy Any income allocated to the Share class from the Fund is reinvested. Dealing Frequency Shares can be bought or sold daily in accordance with the Prospectus. Intended retail Investor The Fund is intended for basic retail investors with a long-term investment horizon seeking capital appreciation and who are able to bear capital loss. Investors in the Fund should be prepared to accept, in normal market conditions, a high degree of volatility of net asset value from time to time.
